Terms & Conditions

These Terms apply to the 12Mcare healthcare management platform operated by 12-M Enterprise. They should be read with any applicable order, subscription, facility, or service arrangement; a signed arrangement prevails where it conflicts with these general Terms.

1. Agreement and eligibility

These Terms govern use of 12Mcare, the healthcare management platform operated by 12-M Enterprise. By accessing 12Mcare, creating an account, or accepting an order or subscription document, you agree to these Terms. If you use 12Mcare for a facility or organisation, you confirm that you are authorised to do so. You must be legally capable of entering a binding agreement.

2. The 12Mcare platform

12Mcare provides facility-based tools for enabled healthcare operations, including patient and organisation records, appointments, clinical workflows, laboratory workflows, imaging workflows, billing and invoices, reporting, communications, permissions, and audit activity. Features available to a facility depend on its configuration, permissions, and applicable commercial arrangements.

3. Facility accounts and administrators

A facility is responsible for maintaining accurate organisation information, appointing authorised administrators, and ensuring that invitations and account access are appropriate. Administrators manage users, roles, facility settings, and access requests within the permissions available to them.

4. Users, roles and confidentiality

Access is role-based and facility-scoped. Users must keep credentials confidential, use only their own authorised account, and protect patient and facility information from unauthorised disclosure. A facility must promptly disable or report access that is no longer authorised.

5. Patient and clinical information

The facility is responsible for the lawfulness, accuracy, notices, permissions, clinical governance, and instructions supporting patient and operational information entered into 12Mcare. 12Mcare provides software tools and does not replace a facility's professional judgement, clinical policies, statutory duties, or record-keeping obligations.

6. Accuracy and use of records

Facilities and authorised users must review information before relying on it, correct errors through the available workflow, and maintain appropriate approvals and audit trails. Reports, results, invoices, appointments, and other records remain subject to the facility's own review and release controls.

7. Acceptable use

You must use 12Mcare lawfully and must not bypass permissions, access another facility's information, probe or disrupt the platform, introduce malicious code, submit unlawful or infringing material, misuse patient information, reverse engineer non-public interfaces except where law prohibits that restriction, or use the platform to create a competing service.

8. Healthcare disclaimer

12Mcare is administrative and clinical-workflow software. It does not diagnose, treat, or replace a qualified professional, emergency service, clinical order, consent, review, or facility policy. Healthcare decisions remain with the responsible professionals and facility.

9. Billing and communications

Where enabled, 12Mcare supports facility billing, invoices, payments, service records, email, and SMS communications. Applicable prices, payment obligations, credits, sender requirements, and message charges are determined by the facility's commercial arrangement and the relevant service configuration. Users must ensure contact details and communication permissions are accurate.

10. Intellectual property

12-M Enterprise and its licensors retain rights in 12Mcare, its software, interfaces, documentation, designs, trademarks, and improvements. Subject to these Terms and applicable commercial terms, the facility receives a limited, non-exclusive, non-transferable right to use the platform for its internal healthcare operations. Customer and patient information remains subject to the rights and responsibilities described in the Privacy Policy and applicable law.

11. Availability, maintenance and security

We may perform maintenance, release updates, change enabled features, or temporarily limit access for security, legal, technical, or operational reasons. 12Mcare uses facility isolation, role-based permissions, authentication controls, audit logging, and other safeguards supported by the implementation. No online service is completely uninterrupted or secure.

12. Suspension, termination and export

Access may be suspended where reasonably necessary for security, misuse, legal compliance, or unpaid obligations. On closure, the facility should use available export and transition processes and remains responsible for retaining records required by healthcare, accounting, or other applicable obligations. Historical records and auditability may be retained where required by law or the applicable service arrangement.

13. Liability

To the extent permitted by law, 12Mcare is provided subject to applicable commercial terms, and we are not responsible for indirect or consequential loss, provider outages, inaccurate data supplied by users, or decisions made without appropriate clinical or administrative review. Nothing excludes liability that cannot lawfully be excluded.

14. Changes and governing law

We may update 12Mcare or these Terms to reflect changes in the platform, security, law, or operations. The revised version will show a new effective date. These Terms are governed by the laws of the Republic of Ghana, subject to any mandatory rights or agreed dispute process.
